These Terms of Service ("Terms") govern your use of the True Proper platform and services. By creating an account or using our services, you agree to these Terms.

1. The Platform

True Proper provides a commerce platform that enables you to create online storefronts, manage products, process orders, and grow your brand. Our services include:

• Storefront creation and customization
• Product and inventory management
• Order processing and fulfillment tools
• Payment processing (via Stripe)
• Subscription and recurring billing
• Affiliate and wholesale management
• Analytics and reporting
• Email marketing tools

2. Account Requirements

To use True Proper, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activity under your account
• Promptly notify us of any unauthorized access

3. Acceptable Use

You agree not to use True Proper to:

• Sell illegal products or services
• Violate any laws or regulations
• Infringe on intellectual property rights
• Distribute malware or harmful content
• Engage in fraud or deceptive practices
• Harass, abuse, or harm others
• Interfere with the platform's operation
• Resell or redistribute our services without permission

We reserve the right to suspend or terminate accounts that violate these terms.

4. Payments and Fees

Platform Fees

True Proper charges fees based on your selected plan. Fees may include monthly subscription costs and/or transaction fees on sales. Current pricing is displayed on our website and in your dashboard.

Payment Processing

Payments are processed through Stripe. By using our platform, you also agree to Stripe's terms of service. We are not responsible for Stripe's fees, holds, or disputes.

Billing

Subscription fees are billed in advance. Transaction fees are deducted from payouts or billed separately. You authorize us to charge your payment method for all fees incurred.

5. Your Content and Data

Ownership

You retain ownership of all content you upload to True Proper, including product information, images, store content, and customer data. We do not claim ownership of your content.

License to Us

You grant us a limited license to host, display, and transmit your content as necessary to provide our services. This license ends when you delete your content or close your account.

Your Responsibilities

You are responsible for ensuring you have the right to use and sell all products and content on your store, and for complying with all applicable laws regarding your products and business.

6. Customer Transactions

When customers purchase from your store:

• You are the seller of record and are responsible for fulfilling orders
• You must honor your stated return and refund policies
• You are responsible for customer service and dispute resolution
• You must comply with consumer protection laws in your customers' jurisdictions
• You are responsible for collecting and remitting applicable taxes

7. Intellectual Property

The True Proper platform, including its design, features, and technology, is our intellectual property. You may not copy, modify, or create derivative works from our platform without permission.

Your use of the platform does not grant you any rights to our trademarks, logos, or brand assets.

8. Disclaimers

True Proper is provided "as is" and "as available." We make no warranties, express or implied, including:

• That the service will be uninterrupted or error-free
• That defects will be corrected
• That the service is free of viruses or harmful components
• The accuracy or reliability of any information obtained through the service

9. Limitation of Liability

To the maximum extent permitted by law, True Proper shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

• Loss of profits, revenue, or data
• Business interruption
• Cost of substitute services

Our total liability for any claim shall not exceed the fees you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold True Proper harmless from any claims, damages, or expenses arising from your use of the platform, your content, your products, or your violation of these Terms.

11. Termination

You may close your account at any time through your dashboard settings. We may suspend or terminate your account for violation of these Terms or for any reason with notice.

Upon termination, you may export your data. After a grace period, your data will be deleted in accordance with our Privacy Policy.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the platform. Continued use after changes take effect constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
